【摘要】股东质询权可以矫正股东与公司经营管理层之间的“信息不对称”，提高股东参与公司经营管理的积极性。本论文撰写的主要目的是借鉴外国先进的立法水平，设计和完善我国的股东质询权制度。笔者针对我国股东质询权实行现阶段所面临的困境，通过对中外国家相关制度的比较、我国实务部门实践的研究、不同学者的观点的分析，然后试提出个人认为比较好的解决方案及完善建议，从而为我国完善股东质询权提供一定的参考与启迪。

【Abstract】The shareholders’ inquiry right can correct the "information asymmetry" between company management and the shareholders, to enhance shareholder participation in company management initiative. The main purpose of writing this paper is to learn from foreign advanced legislation, to design and improve our shareholder rights system.Author force on the the difficulties which implementation of the shareholders’ inquiry right faced nowadays.Then analyze the comparison of related systems between china and foreign countries, the practice of substantive departments , views of different scholars. At last, offer better solutions and suggestions for improvement personally,to provide a reference to perfect our country’s shareholders’ inquiry right.
