我国中小投资者权益保护若干问题的研究.doc

摘要 由于我国的证券投资市场正处于起步阶段，所以存在上市公司质量不高，投资者自身缺乏必要的专业知识，证券公司违规操作等问题，进而给投资者带来很多损失。而作为投资市场的弱势群体的中小投资者，蒙受的损失更大，这对证券市场的持续稳健的发展会造成极大的影响。要保护好中小投资者的利益必须从中小投资者、大股东以及监管和法律三方面进行分析，从而采取综合的保护措施,例如加强对中小投资者的教育，完善法律和披露制度，采取多元化的监督体系等等。

Abstract: Since our country's securities investment market is at an elementary stage, so some listed companies don't have high quality, the investors are lack of the necessary expertise and securities companies infringe the market rules. These problems give investors a lot of damage. As the vulnerable groups in the investment market, the small- and medium- sized investors suffer losses, the stock market continuous steady development will be affected. To protect the interests of The small- and medium- sized investors , we must analyze The small- and medium- sized investors, the shareholders and regulatory and legal , and adopt a comprehensive protection. For example strengthen education , perfect legal and disclosure system and use extensive supervision .

　　　国内学者对中小投资者权益保护研究的理论性成果较少,但在实践层面上却提出了很多设想,主要有完善法律机制,完善公司治理结构,完善信息披露制等等。本文通过对我国中小投资者现状的分析，找出中小投资者权益受损的内部原因和外部原因，寻求保护中小投资者权益的系统性和全面性的对策，从而保护中小投资者权益，增强中小投资者对证券市场的信心和热情，推动证券市场和谐稳定地发展。
