摘要:企业重组是伴随企业的产生和发生而发展的一种行为。重组是通过对企业的资金、资产、技术、管理等要素进行配置，实现企业资源要素的优化组合，获取战略机会，发展协同效应，提高管理效益，以此保持企业的竞争优势的行为。中国加入WTO后面对机遇和挑战以及签署了《世界卫生组织烟草控制框架公约》，云南烟草企业潜在的危机渐渐浮出水面。顺应中国烟草产业发展的具体目标是“深化改革，推动重组，走向联合，共同发展”，实现烟草产业的合理布局、规模经营。云南烟草持续整合，优势资源不断集中。烟草企业的重组已是当前烟草行业的重点工作。本文运用SWOT分析法对红云红河集团的重组优势、劣势、机会、威胁四方面进行分析，得出云南烟草产业重组发展战略的对策思考，红云红河集团的重组是不断深化重组改革的烟草工业的示范，其在重组过程中遇到的问题可能成为其他烟草企业重组的借鉴和参考。
