Abstract:The soft clauses in a letter of credit often make it diffcult for the beneficiaries to present the documents and get the payment. This research paper introduces the what soft clauses are and the different types of them in the trade practice. In reference to the export operation from domestic, the paper gives several useful suggestions in dealing with the soft clauses. These suggestions, including strengthening the processure of checking and unifying the format and content of the letter of credit, are given to protect the seller form suffering from the soft clauses.

中文摘要:信用证中的软条款，常常在信用证生效和受益人向银行提交单据环节上制造障碍，使得受益人无法依据信用证规定交付单据，获得货款。本文介绍了何为“软条款”信用证以及目前在外贸业务中使用的信用证中较常见的软条款类型，并结合国内出口业务的具体操作提出了规避软条款信用证风险的几点建议。其中包括外贸公司在从事出口贸易时应加强对信用证条款的审核，统一信用证的格式和条款，信用证条款应尽可能平衡买卖双方的权利义务等。以防止和避免软条款给出口方带来损失。
