摘要:随着中国综合国力的提升,中国企业不断走出国门,进军海外市场。本文以万达收购AMC公司为例,讲述了万达集团作为国内综合地产大亨,收购全美第二大影视公司的过程。开启了万达集团国际化战略发展的新篇章,从此进入影视业成熟的美国市场。26亿美元收购案,也是目前民营企业最大的海外收购案。万达斥巨资进入影视行业,意在企业转型,发展文化产业,目的明确。收购过程中,虽然困难重重,但是运用巧妙的谈判手段,在最好的时机成功收购。此次收购,对于万达集团来说既是机遇也是挑战。规模迅速扩大,市场份额不断增多,但如此快速的发展也带来了不少问题,万达逢山开路,遇水搭桥,在收购之后的运营模式和整合方面的作为对中国企业提供了很有价值的参考。

Abstract:With the upgrading of Chinese comprehensive national strength ,Chinese enterprises continued to go out of the country to enter the overseas market .In this paper ,wanda's acquisition of AMC,for example ,tells the story of wanda group as a domestic real estate tycoon ,the acquisition of the second largest film and television companies .Open a new chapter in the development of wanda group's international strategy has now entered the mature U.S market in the film and television industry $2.6 billion acquisition is currently the largest private enterprises overseas acquisitions,wanda spent a lot into the film and television industry,aimed at business transformation ,the development of cultural industries and purposeful.Though there are difficulties in the acquisition process ,but the use of clever means of negotiations,successfully acquired it in good time.The acquisition,both opportunities and challenges for the wanda group.Has expended rapidly,growing market share,but such rapid development has also brought a lot of problems.

本文通过文献资料研究万达最近几年内的发展规模以及发展方向,从而分析此次万达收购AMC的动机,并且了解收购如此大的影视公司背后所具备的实力。同时,详细了解收购过程中遇到的瓶颈,得知国内企业收购国外企业所要面临的问题。通过整个收购过程,归纳总结万达成功收购AMC过程中遇到的困难,以及解决方法,从而为中国国内企业冲去国门,走向世界提供参考。归纳收购后对万达集团以及AMC影视公司所产生的影响,以及跨国收购后所达到的预期效果和实际效果。通过对比收购前后万达集团以及AMC影视公司的变化,结合归纳法,对比总结收购前后万达集团的规模,市场份额,影响力。结合分析法,探究收购后所带来的各种利弊,总结此次收购是否成功。
