摘要：随着改革开放的不断深入，国家管理层·学术界和实业界对公司治理结构的认识到达了高度的一致，并为推动公司治理的发展付出了巨大努力。在研究引进国外公司治理理论和实践经验的过程中，我们已经积累了相当的理论知识。但是在如何结合我国国情，制定符合我国经济建设需要的公司治理原则上，仍有一定欠缺。

　　公司治理结构建立得是否规范反映的是股东之间的协调关系和法治意识，而企业内部的管理水平则反映的是经营者的管理能力和努力程度，二者不可偏颇。经常可以看到许多本来可以通过加强内部管理而提高效益的企业，却一味地埋怨体制不顺；也有许多建立了公司治理结构的所谓现代企业，由于忽视内部管理而难以走出困境。这充分说明，建立公司治理结构不是万应灵药，可以包治百病。改革和管理共同促进，才是我国国有企业走出困境的正确选择。
